Terms of Service

These Terms of Service ("Terms") govern your use of the Audit Suite software-as-a-service platform ("Service") operated by Swaptions Advisory LLP ("we", "us", "our"). By signing up for or using the Service, you agree to be bound by these Terms.

1. The Service

Audit Suite is a multi-tenant, web-based practice management platform built specifically for Indian Chartered Accountancy firms. It includes engagement management, ICAI-standard checklists, materiality calculations (SA 320), CARO 2020 working papers, time tracking, attendance, compliance calendars, client portals, and report generation.

2. Account & subscription

2.1 Eligibility

You must be at least 18 years old and authorised to bind your firm to these Terms. The Service is intended for use by registered Chartered Accountancy firms in India.

2.2 Plans & pricing

  • Starter — ₹999 / month or ₹9,990 / year (save ₹1,998) — 3 staff logins (1 admin + 2 staff), 5 clients, unlimited engagements per client
  • Pro — ₹2,999 / month or ₹29,990 / year (save ₹5,998) — 10 staff logins, 50 clients, unlimited engagements per client, AI Risk, Tally connector, custom branding
  • Enterprise — ₹6,999 / month or ₹69,990 / year (save ₹13,998) — unlimited usage, dedicated onboarding, priority support

All prices are in Indian Rupees and exclusive of GST. 18% GST is added at invoice. Annual plans are billed once per year. We reserve the right to revise pricing with 30 days' written notice.

2.3 Free trial

New firms signing up via the marketing site automatically receive a 14-day free trial with full Pro features. No credit card required. At the end of the trial, the workspace continues at the Starter tier unless an upgrade is purchased. Trial data is preserved on plan changes.

2.4 Payment

Subscriptions are billed monthly or annually in advance, as selected. Failed payments may result in suspension after a 7-day grace period.

2.5 Cancellation & refunds

You may cancel at any time. No refunds for partial billing periods. On cancellation we retain your data for 30 days during which you can request a full data export, then archive it. Permanent deletion follows applicable retention rules.

3. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of the Chartered Accountants Act, 1949, ICAI Code of Ethics, or any other applicable law
  • Attempt to gain unauthorised access to other tenants, the underlying infrastructure, or any user accounts
  • Reverse-engineer, decompile, or scrape the Service
  • Upload malware, illegal content, or material that infringes third-party rights
  • Resell or sub-license the Service to third parties

4. Data ownership & confidentiality

4.1 Your data is yours

You retain all rights, title, and interest in client data, engagement files, working papers, and any other content you upload or generate through the Service ("Customer Data"). We claim no ownership and will not use Customer Data for any purpose other than providing the Service to you.

4.2 Tenant isolation

Each subscribing firm gets its own dedicated database file. No customer's data is mixed with another's. We use AES-256 encryption for sensitive credentials (SMTP passwords, API keys) stored on our infrastructure.

4.3 Confidentiality

We treat Customer Data as confidential. Access is restricted to authorised personnel for support and platform maintenance only, and only with your prior consent or where required by law.

5. Service availability

We target 99% monthly uptime but do not provide a formal SLA on Starter / Pro tiers. Enterprise customers may negotiate a written SLA. Scheduled maintenance is announced in advance where possible.

6. Intellectual property

The Service, including its source code, design, templates, and ICAI-aligned content (checklist seeds, CARO templates, materiality formulas), is owned by us and protected by Indian copyright law. We grant you a non-exclusive, non-transferable licence to use the Service while your subscription is active.

7. Termination

We may suspend or terminate your account, with notice where practicable, if you:

  • Materially breach these Terms
  • Fail to pay outstanding fees after the 7-day grace period
  • Engage in conduct that may harm us or other customers

You may terminate at any time from the in-app Settings page or by emailing us.

8. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or related to the Service is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, incidental, or punitive damages, including lost profits, lost data (beyond restoration from our most recent backup), or reputational harm.

Audit responsibility remains with the practising Chartered Accountant. Audit Suite is a tool to support your audit work; it does not perform the audit, give a professional opinion, or assume any responsibility owed by you to your audit clients.

9. Indemnification

You agree to indemnify and hold us harmless from any claims arising out of your use of the Service, your Customer Data, or your breach of these Terms.

10. Governing law & jurisdiction

These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts at [Hyderabad, Telangana].

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email to the account contact at least 14 days before they take effect.
